Terms of use
These terms govern your access to and use of NXT OpenViz (“OpenViz”, the “service”), operated by NXT Solutions (Pty) Ltd (“NXT Solutions”, “we”, “us”, “our”). By creating an account, accepting an invitation, or otherwise using the service, you agree to be bound by these terms.
1. Definitions
- Content means any item, comment, file, status, assignment, or other material you or your collaborators submit to the service.
- Project means a shared workspace you create or are invited to within the service.
- Member means a user who has been granted access to a project, in a role such as owner, collaborator, or viewer.
- Clientmeans a member who is not part of NXT Solutions’ internal team and whose access is limited to non-internal content.
2. Eligibility & your account
You may use the service only if you are legally able to form a binding contract and are at least 18 years old. You sign in using the email address you were invited or registered with. You are responsible for keeping your inbox secure and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to:
- upload Content you do not have the right to share;
- use the service to transmit unlawful, defamatory, infringing, harassing, or otherwise harmful material;
- attempt to access data, projects, or systems you are not authorized to access, or to circumvent any access control or role boundary;
- interfere with the proper functioning of the service, its infrastructure, or the use and enjoyment of other members;
- reverse engineer, decompile, scrape, or resell the service except as expressly permitted by law and these terms.
We may suspend or terminate access where we reasonably believe a breach has occurred, or to protect the service or other members.
4. Projects, roles & access
Access to a project is granted and managed by that project’s owners. Owners may invite members, change roles, revoke access, or remove members at any time. Roles determine what a member can see and do within a project. Content marked Internal is visible only to internal team members and is never shown to client members.
You are responsible for ensuring that anyone you invite is authorized to receive and view the Content shared within the project, and that sharing complies with any agreement you have with your client.
5. Your content
As between you and NXT Solutions, you retain all ownership rights in Content you submit. You grant NXT Solutions a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process that Content solely as needed to operate the service for you and your project members.
You represent that you have all necessary rights to submit your Content and that it does not violate these terms or any third party’s rights.
6. NXT Solutions content & feedback
Except for your Content, the service, its design, branding, and underlying software are owned by NXT Solutions and its licensors and are protected by intellectual property laws. Any feedback or suggestions you provide about the service may be used by us without restriction or compensation.
7. Fees & plans
OpenViz may be offered on a free or paid basis. Where a fee applies, the specific terms will be presented before you commit. Fees are generally non-refundable except where required by law. We may change our fees or plans with reasonable notice; changes do not affect a paid term already in effect.
8. Third-party services
The service relies on trusted infrastructure and authentication providers. We are not responsible for the acts or omissions of third-party providers, and their terms may apply to your use of those components.
9. Service availability & changes
We strive for reliability but do not guarantee that the service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue features or the service itself, with reasonable notice where practicable.
10. Termination
You may stop using the service at any time. Owners may delete projects, which removes associated Content. We may suspend or terminate your access if you breach these terms or create risk or legal exposure for us or others.
11. Disclaimers
To the fullest extent permitted by law, the service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of liability
To the extent permitted by law, in no event will NXT Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to your use of the service, whether in contract, tort, or otherwise, even if we have been advised of the possibility of such damages. Where our liability cannot be excluded, it is limited to the amount you paid us in the twelve months before the claim, or a reasonable minimum, as permitted by law.
13. Indemnity
You agree to indemnify and hold NXT Solutions harmless from claims, damages, and expenses arising out of your Content or your breach of these terms, to the extent permitted by law.
14. Governing law & disputes
These terms are governed by the laws of the Republic of South Africa. We will try in good faith to resolve any dispute informally. If that is not possible, the courts of South Africa will have exclusive jurisdiction, unless you are a consumer with mandatory rights to another forum.
15. Changes to these terms
We may update these terms from time to time. We will indicate the “last updated” date below and notify account holders of material changes where appropriate. Continued use after the effective date constitutes acceptance of the updated terms.
